Perrigo Statements on Slavery and Human Trafficking – For Financial Year 2017

Our Commitment

The Perrigo Company plc ("Perrigo") continues to have a zero-tolerance stance on human trafficking or any other form of modern slavery. We are committed to ensuring we maintain robust programs and procedures to protect our people and prevent modern slavery throughout our supply chain.

Our Business

Perrigo Company plc, a leading global healthcare company, delivers value to its customers and consumers by providing Quality Affordable Healthcare Products®. Founded in 1887 as a packager of home remedies, Perrigo has built a unique business model that is best described as the convergence of a fast-moving consumer goods company, a high-quality pharmaceutical manufacturing organization and a world-class supply chain network. Perrigo is one of the world's largest manufacturers of over-the-counter ("OTC") healthcare products and suppliers of infant formulas for the store brand market. The Company also is a leading provider of branded OTC products throughout Europe, as well as a leading producer of "extended topical" prescription drugs. Perrigo, headquartered in Ireland, sells its products primarily in North America and Europe, as well as in other markets, including Australia, Israel and China.

Our Structure

Perrigo is a publicly traded Irish corporation headquartered in Dublin Ireland and traded on the NYSE and TASE. We currently operate in over 35 countries including the United Kingdom, the United States of America, throughout Europe and other sites in Latin American and the Asia Pacific region.

Our Supply Chain

Perrigo maintains a robust supply chain with operational facilities and factories in approximately 10 countries. In addition, we source products, raw materials, packaging, and other goods/services from partners and suppliers around the globe.

Our Policies on Slavery and Human Trafficking

We maintain our commitment to ensure no modern slavery or human trafficking exists within our business or supply chain. Our Code of Conduct applies to all employees and highlights our commitment, at a minimum, to comply with all global laws and regulations in the jurisdictions in which we operate. The core of our organizational beliefs are our core values: Integrity, Responsibility and Respect. Additionally, Perrigo maintains a Supplier Code of Conduct outlining our ethical, social and environmental expectations for our suppliers, which explicitly prohibits the use of child, forced or trafficked labor of any kind.

To help ensure any such violations are reported, Perrigo maintains Ethics Point, a 3rd party grievance and whistleblowing line where any employee around the globe can anonymously report anything of a suspicious or non-compliant nature. This includes the use of forced, child or illicit labor. Any grievances are then formally reviewed and investigated per a procedure, while maintaining a formal policy that prohibits any form of retaliation. Perrigo also encourages, if not requires, our business partners and suppliers to maintain an anonymous grievance line as well.

These policies are in addition to our employee handbooks, Corporate Social Responsibility commitments, and Corporate Compliance & Ethics policies.

Programs, Procedures and Activities during 2017

Perrigo's Ethical and Social Compliance (E&SC) program starts with the Supplier Code of Conduct, which expressively prohibits the use of forced, prison, bonded, indentured or involuntary labor of any kind, including child labor. This is in addition to other requirements, such as safe and clean working conditions, fair wages, no discrimination, and other ethical business requirements that ensure manufactured products or services conducted on behalf of Perrigo are done so in a legal and ethical manner. The Supplier Code of Conduct is distributed to our suppliers to ensure Perrigo's expectations are well defined and outlined.

To ensure no forced labor, or any of the other standards are being met, an audit may be conducted of both Perrigo sites and supplier factories to verify compliance. Due to the nature of the store brand, OTC business, Perrigo is also subject to various Ethical Trade Requirements. Retailer standards also prohibit illegal and unethical activities, such as modern slavery, with many requiring additional audits to be conducted. In 2017, over 50 ethical compliance audits were conducted of Perrigo and supplier facilities.

In addition to the above-mentioned standards and auditing, other activities conducted within 2017 include, but not limited to:

  • Expanded use of Sedex into Perrigo North America
  • Conducted supplier risk assessments for prospective suppliers
  • Implemented various corrective and preventative actions (CAPA) to address gaps and improvement opportunities within supplier factories
  • Maintained compliance with new retailer programs, in addition to existing

To reinforce our expectations against modern slavery and other human rights violations, relevant Directors, key employees and suppliers are provided training, materials, signage and support as appropriate. Additionally, employees are trained on the Perrigo Code of Conduct, whistleblower hotline and encouraged to immediately report any suspected concerns, including potential incidences of modern slavery or any other illegal/illicit activity.

Assurance and Key Performance Indicators

Any issues reported via the whistleblower hotline are reviewed by a cross-functional team, escalated and thoroughly investigated per our defined procedure. Additionally, a broader strategy of prequalifying, monitoring, independent external auditing and corrective action programs are utilized for suppliers to drive continual improvement and ensure compliance.

This statement is made pursuant to relevant legal requirements within the United States and section 54(1) of the U.K. Modern Slavery Act 2015, which constitutes Perrigo's slavery and human trafficking statement for the financial year ending 2017.
